A set of Corporate By-laws is a crucial document that governs the operation of a corporation.
By-laws are always enacted by directors and approved by shareholders to provide direction for matters relating to the operation of the corporation.
Normally a By-law Number 1 is enacted during the initial organization of the corporation. This by-law would cover the procedures for conducting meetings, including location, notices and quorum requirements and provision for proxies.
By-laws may also define responsibility of officers and determine who may sign documents on behalf of the corporation.
There are separate by-laws for each type of corporation.
